Terms of Service

Humboldt.fyi is operated by 99 Agents Agency, based in Eureka, California(“Humboldt.fyi,” “we,” “us,” or “our”). These Terms of Service (“Terms”) form a binding agreement between you and Humboldt.fyi.

1. Acceptance and Related Terms

These Terms govern your access to and use of the Humboldt.fyi website, directory, accounts, business tools, subscriptions, Xander and other AI-assisted features, advertising services, location-based experiences, partner programs, and related services (collectively, the “Services”). By using the Services, creating an account, submitting content, claiming a business, or purchasing a plan, you agree to these Terms and our Privacy Policy.

Additional terms may apply when you accept a specific offer or program, including the Founder Offer Terms and Partner Agreement. If program-specific terms conflict with these Terms, the program-specific terms control for that program.

2. Eligibility and Authority

You must be at least 18 years old to create an account, submit a business or partner application, purchase a subscription, place advertising, or participate in a promotion that requires adult eligibility. If you act for a business or organization, you represent that you are authorized to bind it, and “you” includes that entity.

3. Accounts and Security

Provide accurate, current information and keep it updated. You are responsible for protecting your credentials and for activity under your account. You may not share an account in a way that defeats access controls or impersonate another person or business. Notify us promptly at hello@humboldt.fyi if you suspect unauthorized access.

4. What Humboldt.fyi Provides

Humboldt.fyi is a local discovery and business visibility platform. Features may include public listings, maps, events, local stories, reviews, trip planning, mobile food schedules, Footprint Finder, structured business data, FAQs, AI-assisted discovery, business dashboards, analytics, embedded widgets, advertising, partner tools, and the Branch Challenge Invite Token program. Features depend on plan, eligibility, location, and availability and may change over time.

Humboldt.fyi is a directory and technology provider, not the seller or provider of goods, lodging, food, professional services, events, or experiences offered by listed businesses. Any transaction with a listed business is between you and that business.

5. Listings, Claims, and Verification

We may create unclaimed listings from public, licensed, or third-party business data. Information can be incomplete or outdated. An authorized owner or representative may request to claim or correct a listing. We may require evidence of ownership, affiliation, contact information, payment, and a logo or other business details before approving a claim or paid listing.

A “verified” label means Humboldt.fyi completed its then-current review process. It is not a government certification, professional license, endorsement, warranty, background check, or guarantee of quality, safety, availability, or legal compliance. We may deny, pause, unpublish, or revoke verification if information is inaccurate, rights are disputed, payment is not current, or the listing violates these Terms.

6. Your Content and Public Submissions

“Your Content” includes business details, descriptions, images, logos, schedules, FAQs, ratings, reviews, event or place submissions, program entries, and other material you submit. You retain ownership of Your Content. You grant Humboldt.fyi a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, adapt, publish, display, distribute, and promote Your Content as needed to operate, improve, and market the Services, including through structured data, search, social, maps, embedded widgets, and AI-assisted discovery.

You represent that Your Content is accurate to the best of your knowledge, that you have all necessary rights and permissions, and that our permitted use will not violate law or another person's rights. Do not upload confidential information or personal information you lack authority to disclose. You remain responsible for reviewing business content and AI-assisted drafts before publication.

We may moderate, reject, edit for formatting, restrict, or remove content that is inaccurate, unlawful, unsafe, misleading, infringing, irrelevant, abusive, promotional spam, or otherwise inconsistent with these Terms. We are not required to publish every submission.

7. Ratings and Reviews

Reviews must reflect a genuine experience and may not be fake, purchased, coerced, misleading, or submitted to manipulate a rating. Do not submit private contact, financial, medical, or other sensitive information in a review. Humboldt.fyi community ratings and third-party ratings may be shown separately; we do not promise that every rating or review is accurate. Businesses may report suspected abuse but may not require removal merely because a review is unfavorable.

8. AI-Assisted Features and Search

8.1 Xander is an AI concierge

Xander is an automated artificial intelligence concierge, not a human being. Xander, content suggestions, visibility reports, recommendations, and similar features may use automated systems and third-party AI providers. AI output can be incomplete, inaccurate, outdated, or inappropriate. It is provided for general information and is not legal, medical, financial, emergency, travel, or other professional advice. Verify important information, including hours, prices, and availability, directly with the relevant business or authoritative source.

8.2 Paid placement in recommendations

Businesses that subscribe to a paid Humboldt.fyi plan may appear ahead of other results in Xander recommendations and category directories and are identified as paid partners. Payment can affect display order, but it does not permit false statements about a business or prevent unpaid businesses from appearing.

8.3 Your conversations

Conversations with Xander are processed by Humboldt.fyi and the third-party AI providers described in our Privacy Policy and may be retained to operate, secure, and improve the Services. Do not share sensitive personal information, account credentials, or payment details with Xander.

We do not guarantee that a search engine, AI assistant, or third-party platform will index, cite, rank, recommend, or display a business, or that any feature will produce a specific amount of traffic, revenue, leads, or other business result.

9. Plans, Billing, Automatic Renewal, and Cancellation

9.1 Plan terms and payment

Prices, billing frequency, included features, and any promotional terms are displayed at checkout or in the applicable offer. Paid subscriptions are processed through Stripe and billed in advance. You authorize us and Stripe to charge the payment method associated with your account for the disclosed amounts, applicable taxes, and authorized add-ons.

9.2 Automatic renewal

Unless an offer clearly states otherwise, monthly and annual subscriptions automatically renew for successive periods of the same length until canceled. Before purchase, we will disclose the renewal frequency and price or how the price is determined. We may send renewal reminders and will provide notices required by applicable law. Keep your billing and contact information current.

9.3 Cancellation

You may cancel online through the subscription controls in your business dashboard. If a dashboard cancellation option is unavailable, email hello@humboldt.fyi. Unless you choose and are offered immediate cancellation, cancellation takes effect at the end of the current paid billing period and access continues until then. Cancel before the renewal date to avoid the next charge. There is no cancellation penalty.

9.4 Refunds and the 30-day guarantee

When an offer or checkout displays a 30-day money-back guarantee, you may request a full refund of the initial subscription payment within 30 calendar days after that payment by emailing hello@humboldt.fyi. The guarantee does not apply to later renewals, advertising spend, custom work, partner activation fees, or separate add-ons unless the applicable offer expressly says it does. Outside an express guarantee, fees are non-refundable except where required by law.

9.5 Failed payments and price changes

If payment fails, we may retry the charge, limit paid features, or suspend access after any required notice or grace period. We may change prices prospectively. A new price applies no earlier than a future renewal, and we will provide advance notice and cancellation information as required by law. A valid Founder price commitment remains governed by the Founder Offer Terms.

10. Advertising and Additional Services

Advertising, promoted placements, extra categories, partner services, transaction-based offerings, and future booking or referral tools may have separate prices and order terms. Unless expressly stated, they are not included in a listing subscription. Advertisers are responsible for their creative, claims, landing pages, rights, legal disclosures, and compliance with applicable advertising rules. We may reject or stop a campaign, and we do not guarantee impressions, clicks, conversions, or revenue.

11. Embedded Widgets and Analytics

A business customer may install the Humboldt.fyi widget or analytics snippet only on a website it owns or is authorized to manage. The widget may display verified content, publish structured data, record impressions or interactions, and report installation status. You are responsible for your website, installation, security, and privacy disclosures concerning the widget.

Growth Analytics depend on the widget or analytics snippet being installed, reachable, and active. Data may be delayed, estimated, filtered, or incomplete. Missing analytics caused by removal, blocking, incorrect installation, or third-party systems is not a Service defect. We may send reasonable installation or inactivity reminders relating to your subscription.

12. Partner and Branch Programs

Partner organizations and Branch Challenge Invite Token participants must follow the applicable program instructions and additional terms. Branch Challenge Invite Tokens may not be forged, duplicated, sold, transferred outside the authorized flow, or used to misrepresent participation. Program availability, milestones, recognition, rewards, and partner commissions are subject to verification and may be corrected if activity is fraudulent, reversed, duplicated, or recorded in error.

If your business participates through a partner organization, program activity may be shared with that partner as described in the Privacy Policy and applicable consent notice.

13. Location-Based Features and Footprint Finder

Maps, routes, geolocation, camera effects, Footprint Finder, destination information, and outdoor experiences are provided for convenience and entertainment. Conditions, access, hours, property boundaries, weather, roads, trails, and hazards can change. Stay aware of your surroundings, obey posted rules, obtain required permission, avoid trespassing, and do not use a device while driving. You assume the ordinary risks of travel and outdoor activity. Do not rely on the Services for emergency navigation or safety instructions.

14. Acceptable Use

You may not:

• Break the law, violate another person's rights, or facilitate harmful activity.
• Misrepresent identity, ownership, affiliation, verification, or program participation.
• Submit malware, deceptive content, spam, fake reviews, or unauthorized personal data.
• Probe, bypass, disable, or interfere with security, rate limits, access controls, or the operation of the Services.
• Scrape, crawl, copy, or bulk-extract the Services except through ordinary search-engine indexing, an authorized interface, or our written permission.
• Reverse engineer or attempt to derive source code except where that restriction is prohibited by law.
• Use the Services or data to build a competing directory or train an AI model without our written permission.
• Use the Services to send unsolicited commercial messages or harass another person.

15. Humboldt.fyi Intellectual Property

The Services, software, designs, compilations, branding, and original content supplied by Humboldt.fyi are owned by us or our licensors and protected by law. Except for the limited right to use the Services under these Terms, no right or license is granted. You may not use our marks, including Humboldt.fyi, Xander, Footprint Finder, or Branch Challenge Invite Token branding, in a way that suggests sponsorship or endorsement without permission.

To report copyright, trademark, privacy, or other rights concerns, email hello@humboldt.fyi with the affected URL, a description of the work or right, your contact information, and the requested action.

16. Feedback and Beta Features

If you send suggestions, ideas, bug reports, or other feedback, you grant us a perpetual, worldwide, royalty-free right to use it to operate and improve the Services without compensation or attribution. Screenshots and contact information remain subject to the Privacy Policy. Beta or preview features may be incomplete, change without notice, or be discontinued.

17. Electronic Communications

You agree to receive electronic notices and service communications relating to your account, business review, subscription, security, transactions, or programs. Electronic notices satisfy written-notice requirements where permitted by law. Marketing email will include an opt-out method when required; opting out of marketing does not stop necessary service messages.

18. Third-Party Services and Content

The Services may depend on or link to Stripe, Google, mapping tools, AI providers, event sources, business websites, and other third parties. Third-party terms and privacy policies apply to their services. We do not control and are not responsible for third-party content, availability, security, products, transactions, or conduct.

19. Suspension and Termination

You may stop using the Services at any time, subject to payment and cancellation terms. We may suspend or terminate access, remove content, or unpublish a listing if you violate these Terms, create risk or harm, fail to pay, misuse a program, or if action is required by law. When practical, we will provide notice and an opportunity to address the issue.

Provisions that by their nature should survive termination will survive, including payment obligations, content licenses needed for prior operation or archival integrity, intellectual property, disclaimers, liability limits, indemnity, and dispute provisions.

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HUMBOLDT.FYI DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR ANY LISTING, REVIEW, ROUTE, EVENT, AI OUTPUT, ANALYTICS, OR THIRD-PARTY INFORMATION WILL BE ACCURATE, COMPLETE, SAFE, AVAILABLE, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS A RIGHT THAT CANNOT LAWFULLY BE WAIVED.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMBOLDT.FYI AND ITS OWNER, AFFILIATES, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITIES, OR DATA, ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HUMBOLDT.FYI FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) US$100. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

22. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Humboldt.fyi, its owner, affiliates, and representatives from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from Your Content, your business or advertising, your misuse of the Services, or your violation of these Terms, law, or another person's rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

23. Governing Law and Venue

California law governs these Terms without regard to conflict-of-law principles. Any dispute that is not eligible for small claims court will be brought in the state or federal courts serving Humboldt County, California, and each party consents to their jurisdiction and venue. Nothing prevents either party from seeking temporary or emergency injunctive relief in a court with jurisdiction.

24. Changes to These Terms

We may update these Terms to reflect changes in the Services, business practices, or law. We will post the new version and effective date. For material changes, we will provide advance email or in-product notice when required and may ask you to accept the updated Terms. Changes do not retroactively reduce a valid Founder price commitment.

25. General Terms

These Terms and incorporated program terms are the entire agreement about the Services. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, acquisition, or sale of the Services. We are not liable for delay caused by events beyond our reasonable control.
